An Unincorporated Private Member Community Association

Article I – Name

The name of this organization shall be Earth Well, an unincorporated private member community association.

Article II – Mission

Earth Well-A neighborhood healthcare fund powered by Nature’s remedies. 

Earth Well is a nonprofit private member association dedicated to supporting medical healthcare expenses through the power of community connection. Earth Well’s passion lies in threading local communities together by showcasing local and entrepreneurial vendors who offer natural remedies, organic and homemade goods, holistic wellness services, alternative education options, and handcrafted arts and products.

Vendor membership is selective and based on invitation. Traditional purchasing, friendly gifting, collaborative trading, and equitable bartering is welcome. Donations toward Earth Well’s community medical fund support those experiencing financial hardship.

Our mission is to inspire healthy living and the spirit of community by returning to the basics—enabling simplified access to natural wellness, highlighting entrepreneurial artisans, and propagating meaningful and organic relationships throughout. Through collaboration, education, and shared resources, Earth Well creates opportunities for people to invest in their well-being while helping neighbors in need.

At Earth Well we believe in network reciprocity, and core simplicity. We believe in reintegrating earth’s abundance in natural resources and authentic gifts to fuel bodies, minds, and purpose. Back to the basics. Back to nature. Back to community. 

Article III – Purpose

Earth Well shall:

• Assist with medical expenses for local community members facing financial hardship via donations to Earth Well’s community health care fund.

• Recognize the wisdom of traditional, herbal, and nature-based wellness practices as part of the community's shared knowledge and cultural heritage.

• Showcase local and entrepreneurial vendors who offer natural remedies, organic and homemade goods, holistic wellness services, alternative education options, and handcrafted arts and products.

• Open vendor membership to the community that is fair and transparent, selective, and based on invitation after review.

• Open participation membership (consumer) to the community.

• Value traditional purchasing, friendly gifting, collaborative trading, and equitable bartering.

• Respect individual health and educational lifestyle decisions.

• Provide opportunities for community relationships and development.

• Build partnerships with local growers, artisans, healers, educators, and volunteers.

• Promote environmental stewardship and sustainable practices.

• Operate for the benefit of its members and surrounding community.

Consumer Choice
Earth Well serves as a community medical fund, wellness resource, and a community collaboration network and catalyst. Earth Well does not guarantee the effectiveness or safety of any individual vendor product or service.  Vendor members and consumer members are inherently private, and encouraged to make informed decisions and consult accordingly. Earth Well as an organization is not liable for its collective private members. 

Commitment to Community
Earth Well prioritizes community, collaboration, local economic resilience, environmental responsibility, health and wellness, natural gifts, holistic and alternative options, and private member access.

Article IV – Private Membership

Membership is open to any individual who supports the mission of Earth Well.

Members agree to:

• Respect all members.

• Follow these bylaws.

• Support a safe, kind, respectful, and welcoming environment.

• Respect healthcare choices, environmental stewardship, and sustainable sourcing.

• Conduct business honestly and ethically.

Membership may be suspended or revoked by a two-thirds vote of the Leadership Council for conduct that disrespects or harms the association or its members.

Article V – Community Collective

Earth Well operates as a community collective.

Members are encouraged to:

• Volunteer their skills to others.

• Share knowledge.

• Participate in events.

• Support collaborative decision-making.

• Help maintain community spaces.

• Promote and practice interdependence

• Traditional purchasing, friendly gifting, collaborative trading, and equitable bartering is welcome.

No member owns Earth Well solely by virtue of membership.

Community Marketplace
Earth Well may organize pop-up vending spaces and online directories that showcase products and services from participating community private members.

Article VI – Leadership Council

The affairs of Earth Well shall be coordinated by a Leadership Council consisting of three or more members.

Positions may include:

• President 

• Developer

• Coordinator

• Operations

• Secretary

• Treasurer

Council members may serve up to three-year terms and may be reappointed by vote of the membership. 

Article VII – Meetings

The association shall hold:

• A minimum of quarterly board meetings.

• Special meetings as needed.

Unless otherwise stated, decisions are made by majority vote.

Article VIII – Services

Community Vendors may provide products and services including:

• Community pop-up market spaces 

• Holistic Wellness options

• Alternative academic education

• Harvested fruits and vegetables

• Herbal remedies

• Craniosacral therapy

• Artisan products

• Other natural wellness services permitted by law

Each private member service provider is individually responsible for complying with applicable licensing, insurance, tax, and legal requirements.

Article IX – Finances

Earth Well may receive:

• Membership dues

• Donations

• Grants

• Fundraising proceeds

• Community pop-up vending proceeds

Funds shall be used solely for advancing the mission of Earth Well.

Article X – Committees

The Leadership Council may establish committees including:

• Gardens

• Primary Academic Education

• Wellness

• Events

• Outreach

• Youth Programs

• Sustainability

Committee chairs report to the Leadership Council.

Article XI – Conflict Resolution

Members agree to seek peaceful resolution of disagreements.

Disputes should be addressed through respectful discussion. Earth Well is not responsible for mediating private members and reserves the right to dismiss those out of compliance with guidance listed in these bylaws.

Article XII – Code of Conduct

Members shall:

• Treat one another respectfully.

• Avoid discrimination and harassment.

• Promote honesty and transparency.

• Protect confidential information.

• Refrain from making misleading health claims.

• Comply with applicable laws.

Article XIII – Amendments

These bylaws may be amended by a two-thirds vote of members present at a meeting, provided proposed amendments have been shared at least 10 days before the vote.

Article XIV – Adoption

These bylaws become effective upon approval by a majority vote of the leadership council of Earth Well.
